A note before the legal stuff: this license is short on purpose. We trust you. You bought a JOY — the art that comes with it is yours. Build whatever you want. We’re not going to hover.

1. What this is

This License governs the ownership and use of the artwork (“Art”) associated with each JOYWORLD non-fungible token (“NFT”). It is between the natural person or legal entity holding the NFT (“Owner,” “you”) and JOYWORLD LLC, a Wyoming limited liability company (“JOYWORLD,” “we,” “us”).

By acquiring or holding a JOYWORLD NFT, you and JOYWORLD agree to these terms.

2. The Art is yours

When you become the Owner of a JOYWORLD NFT, JOYWORLD irrevocably assigns to you all right, title, and interest — including all copyright — in the specific Art associated with that NFT. The Art is yours. You may, without restriction or further permission:

Display, reproduce, distribute, and modify the Art.
Create and sell derivative works, prints, merchandise, animation, video, comics, software, anything.
License the Art to others, with or without compensation.
Bring claims against parties who infringe your copyright in the Art.
Sell, transfer, gift, or destroy the Art and the NFT.

There are no revenue caps, no required approvals from JOYWORLD, and no royalties due to JOYWORLD. We do not police what you make. You are an adult; act like one.

3. The Art transfers with the NFT

When you transfer a JOYWORLD NFT to another wallet, all of your right, title, and interest — including copyright — in the associated Art transfers with it, and the new Owner steps into your position under this License. You acknowledge and agree that your transfer of the NFT itself is your act of assigning copyright in the Art to the new Owner, and no further written or signed instrument is required for the assignment to take effect.

If a court finds that an NFT transfer alone does not effect a valid copyright assignment in any jurisdiction, you grant the new Owner the broadest exclusive license to the Art permitted by that jurisdiction, on the same economic terms as the assignment, with this paragraph operating as a fallback.

4. JOYWORLD’s license back

You grant JOYWORLD a perpetual, worldwide, royalty-free, non-exclusive, sublicensable, irrevocable license to use, reproduce, display, distribute, modify, and create derivative works of the Art for:

Marketing and promotion of JOYWORLD and its products, services, and creative works.
Display on JOYWORLD-operated platforms (joy.world, JOYchat, JOYWORLD social channels, JOYWORLD apps).
Inclusion in JOYWORLD’s own creative works, including animations, comics, films, games, music, merchandise, and the JOYWORLD universe.
Archives, retrospectives, and historical records of the JOYWORLD project.

This license back is what lets us keep building the world your JOY came from. It does not give JOYWORLD ownership of the Art, nor any right to interfere with your use of the Art under Section 2.

5. The brand stays with JOYWORLD

Owning the Art does not give you any rights in JOYWORLD’s trademarks, brand names, logos, or trade dress, including without limitation: JOYWORLD, JOY, JOYsmiley, JOYsmilies, Scrambler, JOYtoy, JOYtoys, JOYchat, the JOYWORLD wordmark, and any related marks (the “Marks”).

You may not:

Use the Marks in your own products, services, marketing, or branding.
State or imply that JOYWORLD endorses, sponsors, certifies, or is otherwise affiliated with your work.
Misrepresent yourself as the original creator of the Art. You may present yourself as the owner of the Art; you may not claim you made it.

The Art is yours. The brand is ours. These two things are separable, and this License keeps them separate.

6. Be a responsible adult

You are responsible for complying with applicable law and for respecting the rights of third parties when using the Art. We do not enumerate forbidden uses; you know what is reasonable and what is not.

If a specific use of the Art by you causes clear and material harm to JOYWORLD or the JOYWORLD community (for example: criminal activity carried out under the Art’s name, fraud committed using the Art, defamation of identifiable individuals), JOYWORLD reserves the right to revoke the license-back portion of this License with respect to your specific Art — that is, JOYWORLD may stop using your specific Art in its own materials. Revoking the license back does not affect your ownership of the Art.

7. As-is

The Art and the NFT are provided as-is and as-available, with no warranties of any kind, whether express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, non-infringement, title, or quiet enjoyment.

JOYWORLD is not responsible for: lost, stolen, or compromised private keys; smart contract bugs or exploits; blockchain failures, forks, or downtime; the actions of third-party marketplaces, wallets, custodians, or services; or anything else outside JOYWORLD’s direct control.

8. Limited liability

To the maximum extent permitted by law, JOYWORLD’s total liability arising out of or related to this License or the Art shall not exceed the greater of: (a) the amount you paid JOYWORLD directly for the NFT, or (b) one hundred US dollars ($100). JOYWORLD shall not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages.

9. Versioning

This is version 1.0 of the JOYWORLD Open Art License. Each JOYWORLD NFT is governed by the version of the License referenced in its on-chain metadata at the time of its mint. JOYWORLD may publish later versions for future NFTs; later versions apply only to NFTs minted under them and never override the version applicable to your NFT. Once published, a version’s text is permanent.

10. Governing law

This License is governed by the laws of the State of Wyoming, USA, without regard to conflict of laws principles. Disputes arising out of or related to this License shall be resolved in the state or federal courts located in Wyoming, and you consent to personal jurisdiction in those courts.

11. Severability and entire agreement

If any provision of this License is found unenforceable, the remaining provisions remain in full effect. This License is the entire agreement between you and JOYWORLD regarding the Art associated with your JOYWORLD NFT and supersedes any prior or contemporaneous agreements on the subject.
